Vendor Messaging & Email Agreement

This agreement describes how ESMS uses third-party vendors to deliver SMS, WhatsApp, and email communications on your behalf, and the responsibilities shared between your organization and Be Bright Solutions.

1. Vendors & Services

  • Approved vendors may include SMS gateways, WhatsApp BSPs, email delivery services (e.g., SMTP relays), and hosting providers.
  • We may update vendors to improve reliability or compliance; material changes will be communicated.

2. Customer Responsibilities

  • Obtain and record consent for messaging recipients; honor opt-out requirements.
  • Provide accurate sender identities (from names, phone numbers, domains) and avoid misleading content.
  • Comply with local telecom, anti-spam, and platform rules (e.g., WhatsApp template approvals).

3. Limits & Fair Use

  • Usage is subject to plan quotas and vendor rate limits.
  • We may throttle or block traffic that appears abusive, high-risk, or non-compliant.

4. Deliverability

  • Delivery can be affected by carrier policies, spam filters, or incorrect recipient details.
  • We will monitor vendor health and retry where supported, but delivery is not guaranteed.

5. Data Protection

Vendors receive only the data necessary to deliver messages (sender IDs, templates, recipient contact details, and message content). They are bound by confidentiality and security obligations consistent with our DPA and Privacy Policy.

6. Incident Response

We will notify Customers of security incidents impacting vendor-delivered communications without undue delay and coordinate remediation steps.

7. Billing

  • Messaging and email usage may incur additional per-unit charges or credits beyond base subscription fees.
  • Disputed charges must be raised within the billing period for review.

8. Termination

We may suspend messaging services for compliance violations, vendor mandates, or non-payment. Upon termination, vendor credentials issued through ESMS will be revoked.
